NT 3.51 and IBM Modem Shutdown Conflict

My 760ELD (model 9547-U3F) running NT 3.51 Workstation will not
sucessfully shutdown to the "Restart" screen. Instead it hangs at the
"Please Wait, Saving unsaved data to disk". The problem goes away if
the IBM PCMCIA modem (model 25H6420) is removed. I've updated the BIOS
to lastest rev from IBM website, but no luck.
Has anybody seen this problem. IBM tech support says update the video,
audio, and utilities drivers, however it would be nice to know exact
what is the source of the problem.
